Fillzy – Seller Terms & Conditions
(Applicable to all sellers onboarding and selling on the Fillzy platform)
Fillzy is a platform which list local sellers and shows seller information on platform. So in any misguidance it will lead to shop reputation.
1. Introduction
These Seller Terms & Conditions ("Terms") govern the access and use of the Fillzy platform ("Platform") by sellers ("Seller", "You"). By registering on Fillzy, you agree to comply with these Terms, applicable laws, and platform policies.
Fillzy acts as a *technology platform* connecting customers with local sellers and does not manufacture, own, or control the products sold by sellers.
2. Seller Eligibility
To sell on Fillzy, the seller must:
* Be legally capable of entering into contracts
* Operate a lawful business or shop
* Provide accurate business and identity details
* Comply with all applicable Indian laws and regulations
Fillzy reserves the right to approve or reject any seller application without assigning reasons.
3. Product Listing Responsibility
The seller is solely responsible for:
* Accuracy of product descriptions, images, pricing, and stock
* Ensuring products listed are genuine, safe, and legal
* Ensuring that no misleading, false, or prohibited claims are made
Fillzy does not verify product quality unless legally required.
4. Branded vs Unbranded Products
4.1 Branded Products
If the seller lists **branded products**, the seller must:
* Be the brand owner **OR**
* Be an authorized reseller with valid brand authorization
* Upload genuine purchase invoices when requested
Selling counterfeit, duplicate, or unauthorized branded products is strictly prohibited.
4.2 Unbranded Products – Restrictions
The following categories **cannot be sold as unbranded** on Fillzy:
* Cosmetics & personal care products
* Health, medical, and wellness products
* Packaged food & beverages
* Baby care products
* Electronics & electrical items
* Products requiring BIS, FSSAI, CDSCO, or similar certification
* Products making medical, ayurvedic, herbal, organic, or safety claims
Such products **must be listed with a valid brand name and applicable licence**.
5. Licences & Regulatory Compliance
The seller agrees to obtain, maintain, and provide valid licences as required, including but not limited to:
* Drug & Cosmetic Licence (for cosmetics)
* FSSAI Licence (for food products)
* BIS Certification (for electronics)
* Any other category-specific approval
All licences must remain valid during the listing period.
6. Prohibited Activities
The seller shall not:
* Sell counterfeit or imitation products
* Use brand names, logos, or designs without authorization
* Sell prohibited or restricted items under Indian law
* List products with false claims or misleading information
* Circumvent platform compliance checks
7. Order Fulfilment & Delivery
* Sellers are responsible for order preparation and packaging
* Delivery may be handled by Fillzy partners or seller self-delivery (if enabled)
* Sellers must meet promised delivery timelines
8. Returns, Refunds & Disputes
* Return and refund policies are defined by the seller, subject to consumer law
* Fillzy does not guarantee returns for any categories
* Product-related disputes shall be resolved directly between seller and customer
9. Subscription Fees, Payments & Taxation
9.1 Subscription Charges (No Seller Commission)
* Fillzy does *not charge any commission from sellers on per-order sales*.
* Sellers are required to subscribe to one of Fillzy’s *subscription plans* to access and use the platform.
* Subscription fees are fixed-period charges (monthly / quarterly / annually) and are non-refundable unless expressly stated.
9.2 Platform Fee Charged to Customers
* Fillzy may charge a *platform or convenience fee directly from customers* for use of the platform.
* Such platform fees are *independent of seller earnings* and shall not be treated as seller commission.
9.3 Payment Gateway Charges
* In case a customer makes payment using **debit card, credit card, or other online payment methods**, only the **actual payment gateway charges** levied by the payment gateway service provider shall be deducted.
* No additional commission or platform fee shall be deducted from seller payouts per transaction.
9.4 GST & Tax Responsibility
* Sellers are solely responsible for **GST registration, invoicing, filing, and compliance** under applicable laws.
* Sellers must ensure GST charged to customers is accurate and deposited with the government.
9.5 Seller Payouts & Settlement
* Seller payouts shall be processed as per the defined payout cycle communicated by Fillzy.
* Payments will be made only to the seller’s registered bank account.
* Fillzy may withhold or adjust payouts in case of refunds, disputes, suspected fraud, or legal obligations.
9.6 Settlement Statements
* Sellers will receive settlement summaries including order value, payment gateway charges (if applicable), taxes (if applicable), and net payout amount.
* Sellers must raise any settlement disputes within the prescribed time window.
10. Discounts, Offers & Promotions
10.1 Seller-Driven Discounts
* All discounts, price reductions, and offers applied on products are **initiated and funded by the seller**.
* Sellers bear full financial responsibility for such discounts.
10.2 Platform Promotions
* Fillzy may suggest promotional campaigns from time to time.
* **No discount shall be applied without the seller’s explicit consent**, provided through dashboard approval or written confirmation.
10.3 Discount Adjustment
* Seller-funded discounts shall be adjusted from seller payouts.
* Fillzy shall not bear the cost of discounts unless expressly agreed in writing.
11. Delivery, Logistics & Distance-Based Charges
11.1 Free Delivery (Up to 3 KM – Order Value Based)
* **Free delivery shall be applicable only if the customer’s order value meets or exceeds the minimum order value fixed by Fillzy from time to time**.
* The minimum order value for free delivery shall be clearly displayed to customers at checkout.
* Free delivery is applicable only when the customer address is within a **3 kilometer radius**.
* Free delivery may be fulfilled either by:
* Fillzy or its delivery partners, **or**
* The seller through self-delivery.
* If the order value does not meet the required minimum, applicable delivery charges shall be collected from the customer **even within the 3 KM radius**, without exception.
11.2 Delivery by Fillzy (Seller or Platform Funded)
* Where delivery is fulfilled by Fillzy or its delivery partners:
* Free delivery within 3 KM may be funded by Fillzy or the seller as per operational arrangements.
* Beyond 3 KM, delivery charges shall apply as defined below.
11.3 Distance Beyond 3 KM – Customer Charges
* For deliveries exceeding 3 kilometers, an **additional per-kilometer delivery charge** shall be collected from the customer.
* Such charges shall be clearly disclosed at checkout.
11.4 Seller Self-Delivery & Settlement
* If the seller chooses to provide **self-delivery**, any distance-based delivery charges collected from the customer shall be **paid to the seller**.
* From such delivery charges, **GST at 18% (or as applicable)** shall be deducted before settlement, as delivery service income.
12 Suspension & Termination
Fillzy may suspend or terminate a seller account if:
* False or forged documents are submitted
* Repeated customer complaints occur
* Regulatory violations are detected
* Seller breaches these Terms
Termination may be temporary or permanent.
13. Limitation of Liability
Fillzy shall not be liable for:
* Product quality, defects, or safety
* Legal violations committed by the seller
* Losses arising from seller-customer disputes
The seller agrees to indemnify Fillzy against all claims, penalties, or damages.
14. Amendments
Fillzy reserves the right to modify these Terms at any time. Continued use of the platform constitutes acceptance of updated Terms.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Jurisdiction shall lie with courts having authority at Fillzy’s registered office location.

Annexure A – Seller Subscription Plan Framework
A1. Subscription Model
* Fillzy operates on a **subscription-based seller access model**.
* Sellers are required to maintain an **active subscription** to list products and receive orders.
* No per-order commission is charged to sellers.
A2. Subscription Price
*Exact pricing, duration, and features shall be communicated separately and may be revised from time to time.*
A3. Subscription Validity & Enforcement
* Subscription fees are charged on a **prepaid basis**.
* Expiry or non-renewal of subscription may result in:
* Temporary suspension of listings
* Restriction on receiving new orders
* Subscription fees are **non-refundable**, except where mandated by law.
Annexure B – Customer Delivery & Platform Fee Policy
B1. Platform / Convenience Fee
* Fillzy may charge a **platform or convenience fee** directly from customers for use of the platform.
* Platform fees are independent of seller earnings and are **not shared with sellers**.
* The platform fee amount shall be **clearly disclosed to customers at checkout**.
B2. Delivery Charges – General Principles
* Delivery charges are calculated based on:
* Distance between seller and customer
* Order value
* Delivery method (Fillzy delivery or seller self-delivery)
B3. Free Delivery Eligibility
Free delivery is applicable **only when all conditions below are satisfied**:
* Customer address is within **3 KM radius**, and
* Order value is **equal to or above the minimum order value fixed by Fillzy**, and
* Delivery service is available at the location
If the order value is below the minimum threshold, **delivery charges apply even within 3 KM**.
B4. Delivery Beyond 3 KM
* Additional per-kilometer delivery charges shall be applied to the customer.
* Charges shall be displayed transparently before order confirmation.
B5. Seller Self-Delivery
* Where sellers opt to provide self-delivery:
* Distance-based delivery charges collected from customers shall be paid to the seller
* **18% GST (or applicable rate)** shall be deducted before settlement
B6. Policy Updates
* Fillzy reserves the right to revise delivery charges, minimum order values, and platform fees.
* Continued use of the platform constitutes acceptance of updated policies.
